Flex Terms of Service

Effective Date: July 13, 2026

These Terms of Service are a binding agreement between the individual accepting them and Hyena Inc. They govern access to and use of the Flex mobile application, Flex web pages, connected e-bike features, software, content, and related services that link to these Terms.

Please read these Terms carefully. They contain provisions that affect legal rights, including warranty disclaimers, limits of liability, indemnity obligations, and a Taiwan governing-law and forum clause subject to mandatory consumer protections.

1. Agreement and Contracting Entity

Hyena Inc. provides the Services. In these Terms, "Flex" means the Flex mobile application and platform; "Hyena," "we," "us," and "our" mean Hyena Inc.; "Services" means the Flex mobile application, Flex web pages, connected e-bike features, software, content, and related services that link to these Terms; and "you" means the individual who accepts these Terms.

You accept these Terms by selecting an unchecked box, button, or equivalent control that expressly states that you agree, after the Terms link has been presented conspicuously and made available for review. If you do not agree, do not create an account or use account-based Services.

Merely visiting a public Flex page does not create agreement to provisions that require affirmative assent. A visitor may view intentionally public profiles, shared routes, and maps; share an ordinary link; contact support; or submit an available report without an account. Downloading restricted content, posting, interacting, earning rewards, connecting an e-bike, or using another account feature requires assent. Public pages may use cookies or analytics as described in the Privacy Policy. Copyright, privacy, anti-circumvention, and other legal rights remain enforceable independently of contract.

The Flex Community Standards are incorporated by reference and supplement these Terms. The current Community Standards are available through the Services and at this page. Section 7 contains the core Acceptable Use rules. If the Community Standards conflict with these Terms, these Terms control except where applicable law requires otherwise. The Flex Privacy Policy, including Section 12 (Consumer Health Data), describes Hyena's information practices and is not incorporated as a contractual limitation on statutory rights. Any consent, authorization, or feature-specific privacy commitment expressly presented to you remains effective according to its terms and applicable law. If a feature-specific term conflicts with these Terms, it controls only for that feature and only to the extent of the conflict.

The consumer Services are licensed for individual, personal, noncommercial use. Dealer, fleet, employer, enterprise, and other organizational uses require a separate written agreement and applicable privacy notice.

You must be at least 16 years old and legally permitted to use the Services where you live. The Services are not intended for anyone under 16.

If you are 16 or 17, or otherwise under the age of legal majority where you live, you may use Flex only where Hyena determines that the account and requested features can be offered lawfully. Flex may limit, alter, or decline an account or feature when consent, parental authorization, age assurance, or another protection is required by applicable law and cannot be obtained.

Flex does not offer a general parent or legal guardian assent flow in version 1.0. If Flex later introduces such a flow, it will separately present the applicable verification, assent, notice, withdrawal, and transition-to-majority terms.

Contract assent is separate from consent for consumer health data, precise location, sensitive data, or a personalized feed or engagement feature for which applicable law requires separate consent. Withdrawal or failure of required assent may restrict the account while preserving applicable access, export, correction, and deletion rights.

Some jurisdictions allow a minor to disaffirm a contract. Nothing in these Terms limits a nonwaivable right of a minor. Flex may restrict or refuse account creation where we cannot obtain legally sufficient assent or provide an age-appropriate experience.

You represent that the age range provided to Flex is accurate. You must not misrepresent age or help another person evade an age restriction. We may request reasonable age or authority confirmation if needed for safety, privacy, contract formation, or legal compliance, but we will minimize the information requested.

3. Accounts and Security

3.1 Account Creation

You must create an account to use account-based Services. You agree to provide accurate, current, and complete information; maintain only the number of accounts permitted by Flex; keep information current; and use the account only for lawful, authentic activity.

You may not sell, transfer, rent, license, or share an account or allow another person to impersonate you. You may not create an account for a person without authority or create accounts through automated means.

3.2 Apple and Google Sign-In

Flex may allow Sign in with Apple or Google Sign-In. Your relationship with Apple or Google is governed by that provider's terms. Flex receives authentication information authorized by you and the provider, but Flex does not receive the password used for the third-party account.

You are responsible for maintaining access to the sign-in account and protecting the device and authentication methods used with Flex. If the provider suspends or terminates the sign-in service or your provider account, you may lose ordinary account access. Flex may offer an approved recovery method where available. Even if ordinary access cannot be restored, you may submit a privacy request through the method in the Privacy Policy.

Apple users may use a private relay email address. You are responsible for ensuring that the relay remains active and for reviewing notices delivered through it.

3.3 Account Security

You must use reasonable care to secure your device, sign-in account, authentication tokens, and Flex session. Notify us promptly at flex@hyenatek.com if you suspect unauthorized access, loss of a device containing an active session, or other account compromise.

You are responsible for activity you authorize or cause. You are not responsible for unauthorized activity caused solely by Hyena's failure to use legally required security. We may temporarily restrict an account when reasonably necessary to investigate suspected compromise, fraud, safety risk, or unauthorized use.

4. License to Use the Services

Subject to these Terms, Hyena grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for personal, noncommercial purposes on devices you own or control. If you use an Apple device, the license is also subject to Apple's applicable usage rules and may be used through Family Sharing or volume purchasing to the extent permitted by Apple.

The Services, including software, interfaces, designs, text, graphics, maps, compilations, models, trademarks, and Hyena-created content, are owned by Hyena or its licensors and are protected by law. Open-source components remain subject to their applicable licenses and notices, which may be made available in the app or accompanying materials. Except for the limited license above, no right is granted by implication, estoppel, or otherwise.

You may not, except where applicable law does not permit the restriction:

  1. copy, modify, translate, distribute, sell, lease, sublicense, or create derivative works from the Services;
  2. reverse engineer, decompile, disassemble, or attempt to derive source code, models, algorithms, or nonpublic interfaces;
  3. bypass access, rate, privacy, safety, security, or technical controls;
  4. use a robot, spider, scraper, automated device, or similar process to access or collect from the Services without our written permission;
  5. use the Services or data to build a competing product, train a model, create a user profile for an unrelated purpose, or identify a person from deidentified information, except with Hyena's written permission or as protected by applicable law;
  6. remove proprietary notices or use Hyena or Flex trademarks without written permission; or
  7. access the Services through an interface not intentionally provided by Hyena.

These restrictions do not prohibit security research, interoperability, or other conduct protected by applicable law. A researcher should report a suspected vulnerability responsibly to flex@hyenatek.com with the subject line "Security Report."

5. User Content and Ownership

"User Content" means photos, posts, comments, routes, activity descriptions, reports, feedback submitted as content, and other material you upload, create, publish, or transmit through the Services. User Content does not include software, interfaces, Flex-generated statistics, or aggregated and deidentified information owned or licensed by Hyena.

You retain ownership of rights you hold in User Content. You represent that you own or have permission to use and submit it and that its submission and use under these Terms will not violate intellectual-property, privacy, publicity, confidentiality, contract, or other rights.

5.1 License to Hyena

You grant Hyena a non-exclusive, worldwide, royalty-free license, with the right to sublicense to service providers, to host, store, reproduce, format, adapt for technical display, translate, transmit, distribute, publicly display, and otherwise use User Content only as reasonably necessary to:

  1. operate and provide the Services according to your settings and directions;
  2. display public User Content to the audience selected by you;
  3. secure, moderate, investigate, and enforce the Services;
  4. provide support and comply with law; and
  5. improve the Services using aggregated or deidentified information. Hyena will not use identifiable User Content for model training or an unrelated improvement purpose unless that use is separately disclosed and lawfully authorized.

This license includes the username, profile image, and other identifying elements you choose to display with User Content. It does not authorize Hyena to use your identity or User Content in paid third-party advertising without separate permission.

The license ends when User Content is deleted from active systems, except that temporary backups, legal holds, security records, moderation evidence, and copies shared with others may remain as described in the Privacy Policy. If another user previously quoted a public comment in a lawful thread, for example, removal may not automatically remove that separate copy. This does not authorize infringement of the original user's rights.

5.2 Public and Private Content

You control activity visibility through available settings. Content marked "Anyone" is public and may be viewed by Flex users, people without a Flex account, and search engines. Public content may be copied, cached, indexed, or reshared by others. Content marked "Only me" is not displayed to other users, but Hyena and its service providers may access it for operation, support, safety, security, and legal purposes.

For users 18 and over, "Anyone" is pre-selected for each activity. For users 16 and 17, "Only me" is pre-selected. The Save Activity screen shows the selected audience before publication, and you may change the setting there, on a saved activity, or in settings. Map Visibility is enabled by default with a 200-metre hidden range at the start and end of each route. A Map Visibility change applies to activities recorded afterwards and does not change how a previously published route is displayed. Before publishing precise route information, review the audience and Map Visibility setting shown on the Save Activity screen. A public route can reveal a home, workplace, school, medical facility, place of worship, or other sensitive location. Do not post another person's sensitive information without authority and consider carefully whether to publish your own health or precise-location information.

Public visibility does not authorize another person to use your name, likeness, image, route, or content for advertising, endorsement, surveillance, or an unrelated commercial purpose.

6. Feedback

If you voluntarily provide suggestions, ideas, or feedback about the Services outside User Content, you grant Hyena a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use and commercialize that feedback without compensation or attribution. Do not provide feedback subject to a duty of confidentiality or a third party's rights.

7. Acceptable Use

This Section contains Flex's core Acceptable Use rules. The standalone Flex Community Standards supplement these Terms and are incorporated by reference as described in Section 1. You are responsible for your conduct and User Content. You must use the Services safely, lawfully, respectfully, and for their intended purposes.

You may not use the Services to:

  1. violate law, a court order, sanctions or export controls, or another person's rights;
  2. threaten, harass, stalk, exploit, intimidate, shame, or promote violence or self-harm;
  3. discriminate or attack a person or group based on race, ethnicity, nationality, religion, disability, medical condition, age, sex, sexual orientation, gender identity, or another protected characteristic;
  4. publish pornography, sexual exploitation, nonconsensual intimate imagery, or sexual content involving a minor;
  5. disclose another person's precise location, health information, contact details, private communications, or other sensitive information without authority;
  6. impersonate another person or entity, misrepresent affiliation, or engage in fraud, phishing, manipulation, or deceptive conduct;
  7. infringe copyright, trademark, publicity, privacy, or other rights;
  8. distribute malware, harmful code, spam, unauthorized advertising, pyramid schemes, or unlawful solicitations;
  9. scrape, harvest, profile, monitor, or contact users for an unrelated commercial or surveillance purpose, including to build or enrich a database of homes, workplaces, health visits, religious attendance, or movement patterns from public Flex content;
  10. manipulate ride data, goals, leaderboards, campaigns, EcoGems, redemptions, reports, or safety systems;
  11. interfere with the Services, probe or exploit vulnerabilities, overload systems, evade restrictions, or help another person do so;
  12. use the Services while operating an e-bike or other vehicle in a way that distracts you, violates law, or creates a safety risk;
  13. organize or encourage illegal, reckless, or dangerous activity; or
  14. submit content that is otherwise reasonably likely to cause material harm to users, the Services, or the public.

Context, severity, intent, repeated conduct, risk, and applicable law affect enforcement. Relevant context may include newsworthy reporting, education, advocacy, health or safety warnings, documentation of misconduct, and lawful artistic expression. Context does not require Flex to allow material that creates unlawful or material harm. We may publish additional examples or feature-specific guidance, but a material new restriction will be notified as required by Section 18.

8. Moderation, Reports, and Blocking

Flex provides tools to report content or accounts, hide content, and block users. Reports should be made in good faith and must not be used to harass or silence others.

We may use automated tools and human review to detect, prioritize, and evaluate suspected violations. We may decline to publish, reduce distribution of, label, hide, remove, preserve, or disclose User Content; issue a warning; restrict community features; freeze or reverse EcoGem activity; suspend an integration; or suspend or terminate an account. We may act without advance notice when reasonably necessary to address security, fraud, legal process, serious harm, repeated violations, or evasion.

For most nonurgent violations, we consider proportional measures and may provide a reason or other information where legally and operationally appropriate. Flex provides any content-moderation notice, complaint-handling process, statement of reasons, or internal review required by applicable law and may offer a voluntary process where available. Content may remain restricted while Flex evaluates a report or takes another permitted action. An urgent safety, security, fraud, legal, or account-compromise hold may take effect immediately. We may maintain records as described in the Privacy Policy.

Blocking prevents the blocked users from viewing or interacting with each other through covered community features. It does not prevent all offline contact, third-party sharing, legal process, or access through information already copied outside Flex.

If and to the extent the EU Digital Services Act applies to Flex, Flex will provide the statement of reasons, complaint-handling, and other process required by that law. The applicable process will be described in the then-current Community Standards or another designated legal notice.

9. Ride Data, Location, Health, and Safe Use

9.1 Ride and Device Data

The Services may display GPS, speed, distance, elevation, cadence, power, battery, range, motor assistance, calorie, carbon-dioxide savings, and other measurements or estimates. Sensor accuracy, sampling, configuration, connectivity, environment, and calculation assumptions can affect results. Estimated carbon-dioxide savings depend on assumptions selected by Hyena, including comparison transportation, distance, and available emissions factors, and do not represent a verified carbon offset. The data is provided for general activity and product-reference purposes and is not guaranteed to be accurate, complete, or current.

9.2 Location Safety

Use route recording, maps, and location features responsibly. Do not interact with a handheld device while riding unless permitted by law and safe under the circumstances. Flex is not a substitute for attention, road signs, traffic rules, route conditions, equipment inspection, judgment, or emergency services. Flex does not monitor rides in real time for emergencies and will not automatically contact emergency services unless a specific feature expressly states otherwise.

Map content and suggested routes may be incomplete, unavailable, unsafe, or unsuitable for an e-bike. A route does not determine whether a road, trail, property, or facility is open to the public or lawful for a particular e-bike class. You are responsible for selecting a lawful route, obtaining any user-specific access or admission, obeying restrictions, wearing appropriate safety equipment, maintaining the bicycle, and deciding whether conditions are safe.

9.3 Health and Fitness Information

Heart rate, calories, power, goals, summaries, and similar information are not medical advice, diagnosis, treatment, nutrition advice, training prescription, or a guarantee of fitness or safety. Do not disregard professional advice or delay seeking care because of information in the Services. Stop an activity and seek appropriate assistance if you feel unwell or unsafe.

Optional heart-rate collection requires the separate consent described in the Privacy Policy. The Services can be used without enabling a heart-rate sensor.

9.4 Connected E-Bikes, Components, and Software

In version 1.0, Flex reads Bluetooth telemetry from a connected e-bike for display and ride recording only, including battery, remaining range, motor-assistance level, cadence, rider power, speed, torque, and connection status. Flex does not write settings or parameters to an e-bike, perform diagnostics, deliver firmware or software updates, or send maintenance or recall notices. Flex is not a substitute for manufacturer instructions, physical inspection, maintenance, recalls, or professional repair. A third-party e-bike, battery, motor, sensor, or component remains subject to its manufacturer's warranty, safety instructions, limitations, and terms. Flex does not expand or replace a physical-product warranty unless Hyena expressly states otherwise.

If a future version adds connected-device settings, diagnostics, firmware or software updates, maintenance notices, or recall notices, Hyena will provide the applicable feature instructions and update the relevant Terms, Privacy Policy, and other notices before launch.

10. Artificial Intelligence Features

Flex does not offer a consumer-facing AI feature in version 1.0. Progress summaries in version 1.0 are calculated algorithmically. Hyena may use internal staff tools to assist moderation, but that internal use is not a consumer AI feature. If Flex later offers a consumer-facing AI or machine-learning feature, the feature may produce incomplete, inaccurate, inappropriate, or unavailable output, and users should use independent judgment before relying on it. Consumer AI output will not be medical, legal, safety, financial, or other professional advice.

If Flex later offers a consumer AI feature, you may not submit content to it unless you have the right to do so. Do not intentionally submit another person's confidential, health, location, or sensitive information without authority. Hyena's use of information for a future consumer AI feature will be described in the Privacy Policy before launch.

Hyena does not use consumer health data, raw precise routes, or Strava-derived data to train a general-purpose AI model. Hyena will not begin such use without completing applicable legal review, updating its notices, and obtaining any required consent.

11. EcoGems and Reward Programs

"EcoGems" are promotional, in-service reward points that may be credited for eligible rides, goals, campaigns, or other actions identified in the Services. "Eco Campaign" means a Flex campaign through which eligible EcoGems may be redeemed for an identified benefit, such as a tree-planting contribution arranged through Tree-Nation or another provider.

11.1 Limited Program License

EcoGems do not confer a cash, ownership, deposit, stored-value, or transferable property right against Hyena, except to the extent applicable law provides otherwise. They are not redeemable for cash and do not accrue interest. Hyena grants you a personal, limited, revocable, non-transferable license to use EcoGems only within the Services and under the program rules presented to you.

You may not sell, purchase, barter, assign, gift, pledge, trade, or transfer EcoGems or an account. An attempted transfer is void and may result in forfeiture or account action.

11.2 Earning and Posting

The Services will identify qualifying actions, eligibility criteria, earning rates, limits, and campaign periods. EcoGems are earned only after Hyena's systems validate the activity. Pending or estimated amounts are not final. Posting may be delayed by connectivity, verification, fraud review, or technical issues.

Hyena may correct a balance affected by error, duplicate credit, reversed activity, manipulation, fraud, or a violation of these Terms. If reasonably practicable, we will provide notice and an opportunity to challenge a material correction.

A user who believes qualifying activity was not credited must submit a missing-credit request through the in-app support method or flex@hyenatek.com within 60 days after the later of the activity date or the disclosed expected posting date. If no posting period was disclosed, the period runs from the date the user reasonably should have expected credit. Hyena may extend the deadline for a system outage or other reasonable cause. The deadline applies to a minor only to the extent enforceable and does not limit a nonwaivable statutory claim. The request should identify the activity, account, and supporting information. Hyena reviews relevant records and communicates the result within a reasonable period.

11.3 Redemption

A redemption is subject to the EcoGem balance, eligibility, campaign availability, geographic restrictions, campaign-specific terms, and provider capacity. Before confirmation, the Services will display the EcoGems required, the benefit, the provider, any information to be disclosed, and any material limitation.

A confirmed redemption is generally final and cannot be reversed after fulfillment begins. Hyena may substitute a reasonably comparable benefit or restore EcoGems if a provider cannot fulfill a redemption. Hyena does not guarantee a particular campaign or provider will remain available.

Tree-Nation or another provider performs the identified fulfillment service. Hyena is responsible for accurately transmitting an accepted redemption, but the provider is responsible for its independent operations, website, and representations. Nothing in the program gives a user ownership of a physical tree, land, carbon credit, offset, or verified emissions reduction unless the redemption screen expressly states otherwise.

11.4 Expiration, Suspension, and Program Changes

Available EcoGems do not expire under the current program. The Services may separately show an amount as pending until validation or identify a promotional amount with a disclosed campaign deadline. Hyena will not add expiration to an existing available balance without clear advance notice and only to the extent permitted by law.

Hyena may modify, suspend, or discontinue an earning method, campaign, or the program for legitimate business, legal, security, fraud-prevention, or provider reasons. We will provide reasonable advance notice of a material adverse change when practicable. Except in cases of fraud, legal prohibition, abuse, security risk, or program insolvency, we will provide a reasonable period to use an existing valid balance in an available campaign before a program-wide discontinuation.

EcoGems obtained through fraud, manipulation, fake rides, unauthorized automation, account transfer, or other violation may be withheld or forfeited after appropriate review. Community-feature suspension does not automatically cancel an otherwise valid balance unless the violation relates to rewards, fraud, safety, or law.

11.5 Account Closure and Taxes

Before voluntary account deletion, Flex displays the treatment of EcoGems and pending redemptions. An accepted redemption for which fulfillment has begun proceeds where reasonably possible. An uncommenced redemption is canceled. Any restored EcoGems are forfeited when deletion becomes final. Legally required refunds or remedies remain available. On termination for cause, Hyena may forfeit EcoGems only to the extent reasonably related to the cause, fraud prevention, law, or program integrity.

A tree-planting or similar redemption is not a charitable contribution made by the user and does not entitle the user to a tax deduction unless the redemption screen expressly states otherwise and the required documentation is provided. Any other tax obligation arising from a reward is the user's responsibility, except taxes Hyena must collect, withhold, or report.

11.6 Future Paid EcoGems or Expanded Rewards

Flex does not currently sell EcoGems. Any future sale of EcoGems or other paid reward feature will be subject to Section 14 and separate purchase terms presented before the transaction.

12. Third-Party Services and Integrations

The Services may interoperate with Apple, Google, Strava, Tree-Nation, Mapbox, connected devices, social networks, and other third parties. A third party's terms and privacy policy govern its products and its handling of information after receipt.

Hyena does not control a third party's availability, accuracy, security, policies, or continued compatibility. An integration may be changed, suspended, or discontinued by the third party or Hyena. Hyena will use reasonable care in selecting and configuring providers but does not warrant that an integration will always be available or error-free.

When you activate an integration, the connection flow identifies the information sent, integration metadata received, purpose, permissions, and withdrawal method. You authorize the specific transfer shown and must comply with the third party's terms. You may disconnect an integration to stop future transfers and revoke Flex-held tokens where applicable, but disconnection does not delete data previously received by the third party.

12.1 Strava

If offered, the Strava integration will be a one-way export from Flex unless the connection flow expressly states otherwise, and it will depend on Strava's approval, access rules, rate limits, subscription requirements, branding rules, and continued API availability. Flex may receive OAuth or integration metadata such as an athlete or account identifier, access and refresh token, scope, connection status, error, and transaction response. Flex will not import Strava activity data unless a later notice and consent flow identifies the data, purpose, display, retention, deletion, and withdrawal method before access. Flex will not use Strava-derived data for advertising, unrelated analytics or product improvement, combination with unrelated data, or model training.

12.2 Apple Health

If offered, Apple Health export will occur at your direction and be controlled through Apple permissions. Flex may receive authorization status, connection state, error, and transaction metadata but will not import Apple Health records unless a later notice and consent flow says otherwise. Information received by Apple is governed by Apple's policies. Flex will not use Apple Health information for advertising or data brokerage.

13. App Store Terms

13.1 Apple App Store

If you download the Flex application from Apple's App Store, the following terms apply in addition to the rest of these Terms:

  1. These Terms are between you and Hyena, not Apple. Hyena, not Apple, is responsible for the application and its content.
  2. The license is limited to a non-transferable license to use the application on Apple-branded products you own or control as permitted by Apple's usage rules, including permitted Family Sharing or volume purchasing.
  3. Hyena is responsible for maintenance and support required by these Terms or applicable law. Apple has no maintenance or support obligation.
  4. To the extent a warranty cannot be disclaimed, you may notify Apple of a failure to conform, and Apple may refund the purchase price paid for the application, if any. To the maximum extent permitted by law, Apple has no other warranty obligation.
  5. Hyena, not Apple, is responsible for product-liability, legal-compliance, consumer-protection, privacy, and similar claims relating to the application.
  6. Hyena, not Apple, is responsible for investigating, defending, settling, and resolving a claim that the application infringes a third party's intellectual-property rights.
  7. You represent that you are not located in a country that is subject to a United States Government embargo or that has been designated by the United States Government as a terrorist-supporting country, and that you are not listed on any United States Government list of prohibited or restricted parties.
  8. You must comply with applicable third-party terms, including wireless-data terms.
  9. Apple and its subsidiaries are third-party beneficiaries of this Section and may enforce it after your acceptance.

13.2 Google Play

If you download Flex through Google Play, these Terms are between you and Hyena, not Google. The license is subject to the Google Play terms that apply to you. Hyena, not Google, is responsible for Flex, its content, maintenance and support, and claims relating to the application. Purchases and refunds processed through Google Play are subject to Google Play's terms and procedures. Google has no responsibility or liability for Flex to the maximum extent permitted by law. You must comply with applicable Google Play and third-party terms. You may initiate account deletion through Settings > Delete Account or through the public account-deletion method identified in the Google Play listing.

14. Future Purchases and Subscriptions

Flex does not currently offer paid features or subscriptions. Before launching a paid feature, Hyena will present the applicable price, billing, cancellation, refund, auto-renewal, app-store, tax, account-deletion, and other material terms and obtain any separate assent required by law.

15. Privacy

The Flex Privacy Policy, including Section 12 (Consumer Health Data), describes Hyena's information practices and is not incorporated as a contractual limitation on statutory rights. Any consent, authorization, or feature-specific privacy commitment expressly presented to you remains effective according to its terms and applicable law. Privacy choices do not alter your obligations concerning other users' information. You may not collect, disclose, or misuse another user's personal information through the Services.

Hyena respects intellectual-property rights and expects users to do the same.

A copyright owner or authorized agent may submit a complaint identifying the copyrighted work, the challenged material and its location, the complainant's contact information, the basis for the complaint, and the complainant's authority. Send a copyright complaint to:

Hyena may provide the complaint to the user who submitted the material and may remove or restrict challenged material while reviewing the complaint. Hyena may terminate, in appropriate circumstances, users who repeatedly infringe copyright. Trademark, privacy, and other complaints should use the in-app reporting tool or contact flex@hyenatek.com and should not be labeled as a DMCA notice unless they concern copyright.

16.2 DMCA Notices and Counter-Notices

This subsection applies only while Hyena maintains an active U.S. Copyright Office agent designation and satisfies the requirements for the applicable Digital Millennium Copyright Act safe harbor. A DMCA notice must include:

  1. a physical or electronic signature;
  2. identification of the copyrighted work, or a representative list;
  3. identification and location of the allegedly infringing material;
  4. contact information;
  5. a statement of good-faith belief that the use is unauthorized; and
  6. a statement, under penalty of perjury, that the notice is accurate and the sender is authorized.

Send a DMCA notice to the Copyright Agent identified in Section 16.1. A user who believes material was removed or disabled by mistake or misidentification may send a counter-notice that identifies the material and its former location; includes the user's name, address, and telephone number; states under penalty of perjury that the user has a good-faith belief the removal or disabling resulted from mistake or misidentification; includes the user's physical or electronic signature; and consents to the jurisdiction of the federal district court for the user's address, or, if the address is outside the United States, any federal district where Hyena may be found, and to accept service from the original complainant or that person's agent.

While this subsection applies, Hyena may restore material between 10 and 14 business days after forwarding a valid counter-notice unless the original complainant notifies Hyena that a court action has been filed to restrain the challenged activity. Knowingly submitting a material misrepresentation in a DMCA notice or counter-notice may create liability. Hyena maintains and reasonably implements a repeat-infringer policy as required for the applicable safe harbor.

17. Suspension, Termination, and Account Deletion

17.1 Termination by You

You may stop using the Services at any time and may initiate account deletion through Settings > Delete Account. Deletion consequences, including loss of User Content, ride history, and EcoGems, will be displayed before confirmation. If a paid app-store subscription exists, you must separately cancel it through the store unless the deletion flow states otherwise.

17.2 Action by Hyena

Hyena may restrict, suspend, or terminate access if reasonably necessary because of:

  1. a material or repeated violation of these Terms;
  2. fraud, reward manipulation, unauthorized automation, or security abuse;
  3. a serious safety risk, unlawful conduct, or valid governmental request;
  4. actual or suspected account compromise;
  5. nonpayment of a valid fee after notice and an opportunity to cure where appropriate;
  6. discontinuation of the Services; or
  7. another circumstance in which continued access would create material legal, operational, or security risk.

We may act immediately without advance notice for urgent safety, security, fraud, legal, or abuse concerns. Otherwise, we will provide reasonable notice and, where appropriate, an opportunity to cure or another review process required by applicable law or available through the Services.

A community-feature suspension generally does not affect private ride history, personal statistics, e-bike connectivity, or a valid EcoGem balance unless the restriction is reasonably necessary for the violation, safety, fraud prevention, law, or technical operation.

17.3 Effects and Survival

On termination, the license to use the Services ends. Hyena may delete or deidentify account information according to the Privacy Policy, subject to legal holds, security, fraud prevention, backup schedules, and rights requests. Public comments, likes, or thread interactions may be deleted, anonymized, or retained with a generic account label when needed to preserve another user's conversation, moderation evidence, or legal rights. Section 11 governs a pending redemption and remaining EcoGems.

Sections that by their nature should survive will survive, including ownership, feedback, accrued payment obligations, reward disputes, disclaimers, liability limits, indemnity, dispute terms, and general provisions.

18. Changes to Terms and Services

We may update these Terms for legal, security, product, operational, or business reasons. The revised Terms will identify a new effective date. We will provide advance notice of a material change through the app, email, or another conspicuous method.

If a change materially affects dispute resolution, payment, rewards already earned, content rights, or another core obligation, we will request renewed affirmative assent where required by law. Continued use will not constitute consent when applicable law requires a separate affirmative act. A change applies prospectively unless law or the notice clearly permits otherwise.

We may add, change, suspend, or discontinue a feature. We will use reasonable efforts to provide advance notice of a material discontinuation when practicable. Sections 11 and 17 govern treatment of EcoGems and account data. Nothing in this Section limits a refund, notice, data-access, or other nonwaivable right.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND HYENA CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." HYENA AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

HYENA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, OR COMPATIBLE WITH EVERY DEVICE, E-BIKE, SENSOR, OR THIRD-PARTY SERVICE. HYENA DOES NOT WARRANT USER CONTENT, MAPS, ROUTES, ESTIMATES, AI OUTPUT, CAMPAIGN AVAILABILITY, OR THIRD-PARTY PRODUCTS.

THE SERVICES DO NOT INSPECT AN E-BIKE, SUPERVISE A RIDE, VERIFY A ROUTE, PROVIDE EMERGENCY MONITORING, OR REPLACE PROFESSIONAL ADVICE. YOU ARE RESPONSIBLE FOR RIDING SAFELY, MAINTAINING EQUIPMENT, OBEYING LAW, REVIEWING CONDITIONS, AND DECIDING WHETHER TO ACT ON INFORMATION.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. IN THOSE JURISDICTIONS, THIS SECTION APPLIES ONLY TO THE EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS DISCLAIMS AN EXPRESS WARRANTY THAT HYENA CANNOT LAWFULLY DISCLAIM.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYENA, ITS AFFILIATES, AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) US$50; OR (B) THE AMOUNT YOU PAID HYENA FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

THE EXCLUSIONS AND CAP DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. THIS INCLUDES, WHERE APPLICABLE, FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, NONWAIVABLE PRIVACY OR CONSUMER RIGHTS, AND EXPRESS STATUTORY REMEDIES. THEY ALSO DO NOT LIMIT A REFUND OR OTHER REMEDY REQUIRED BY LAW.

Each limitation is intended to be severable and to apply even if a remedy fails of its essential purpose. The allocation reflects that the current Services are generally provided without charge. A paid feature may include a different lawful cap disclosed before purchase.

21. Indemnity

To the extent permitted by law, you will indemnify and defend Hyena, its affiliates, and their directors, officers, employees, and agents against a third-party claim, damage, judgment, cost, or reasonable attorney fee arising from:

  1. User Content that you submit and that infringes or violates the third party's rights;
  2. your unlawful or willfully harmful use of the Services;
  3. your material breach of Section 7; or
  4. your fraud, intentional misconduct, or gross negligence.

This obligation applies only to the extent enforceable against the individual who accepted these Terms. A parent or legal guardian assumes no indemnity obligation unless the adult separately and expressly accepts it. The obligation does not apply to the extent a claim results from Hyena's conduct, a defect in the Services, or a matter for which indemnity cannot lawfully be required from a consumer.

Hyena will provide reasonably prompt notice of a covered claim. Unless Hyena elects to assume control of the defense, you may defend the claim through qualified counsel reasonably acceptable to Hyena. Hyena may participate through separate counsel at its own expense. You may not settle a claim in a manner that admits Hyena's fault, imposes liability or a nonmonetary obligation on Hyena, or fails to provide Hyena with a complete release without Hyena's prior written consent. Hyena may assume control of the defense when reasonably necessary to protect its interests. Defense costs will be allocated between the parties according to the extent to which the claim is covered by this Section and each party's responsibility for the claim, subject to applicable law.

22. Governing Law and Disputes

22.1 Informal Resolution

Before filing a claim, either party is encouraged to send written notice describing the dispute and requested resolution. Send notice to flex@hyenatek.com with the subject "Legal Dispute" or to the address in Section 25. The parties may attempt in good faith to resolve the dispute for 30 days. This voluntary process does not prevent either party from seeking urgent injunctive relief or meeting a filing deadline.

22.2 Governing Law and Forum

These Terms are governed by the laws of the Republic of China (Taiwan), without regard to conflict-of-law rules, and not by the United Nations Convention on Contracts for the International Sale of Goods. Subject to the paragraph below, the Taichung District Court of Taiwan will be the court of first instance for a dispute.

If you are a consumer, the Taiwan choice does not take away a mandatory protection of the law where you live or a right to bring a claim in a local court when applicable law does not permit these Terms to displace that court. Nothing in this clause prevents a U.S. consumer from bringing a claim in a U.S. court where applicable law gives the consumer a nonwaivable right to do so. An eligible individual claim may also be brought in a U.S. small-claims court where jurisdiction and venue are proper.

If you are in the EU, EEA, UK, Australia, or New Zealand, nothing in these Terms takes away your rights under mandatory consumer protection laws in your country of residence. You can always bring a claim before the courts where you live.

These Terms do not require arbitration and do not waive any right to participate in a class action.

23. California Consumer Notice

California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Boulevard, Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

Hyena provides this information when the user accepts these Terms and, where required, annually through an in-app notice, the associated email address, or another electronic method reasonably calculated to reach the user.

24. General Provisions

Entire agreement. These Terms and properly incorporated feature-specific terms are the entire agreement concerning the Services and supersede prior agreements on the same subject. They do not supersede a separate written commercial agreement signed by Hyena.

Order of precedence. A feature-specific, campaign, or purchase term controls for that feature or transaction. The Flex Privacy Policy, including Section 12 (Consumer Health Data), controls as a notice describing personal-information practices but is not otherwise incorporated as a contractual promise. Mandatory law controls over a conflicting provision.

Severability and reformation. If a provision is unlawful or unenforceable, it will be enforced to the maximum lawful extent or severed, and the remainder will continue. A court may reform a provision only as permitted by law and consistent with the parties' lawful intent.

No waiver. A failure to enforce a provision is not a waiver. A waiver must be in writing by an authorized Hyena representative.

Assignment. You may not assign these Terms or an account without Hyena's written consent. Hyena may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law, subject to applicable notice and consumer rights. Any other material assignment to a nonaffiliate will be notified in advance where required.

No agency. These Terms do not create an employment, partnership, joint venture, franchise, fiduciary, or agency relationship between you and Hyena.

Force majeure. Neither party is liable for delay or failure caused by an event beyond reasonable control, except that this provision does not excuse payment already due, required privacy or security response, treatment of EcoGems and redemptions under Section 11, or another duty that law does not permit to be excused.

Electronic notices. You consent to receive ordinary service notices electronically through the app, associated email address, or another method you provide. Keep a valid contact method, including any Apple relay address, active. A legally material notice is delivered, displayed, or presented for renewed assent as required by Section 18 and applicable law; it is not deemed effective solely because it was sent to a disabled relay address when law requires effective notice. Legal notices to Hyena must use Section 25.

Headings and interpretation. Headings are for convenience. "Including" means "including without limitation." The singular includes the plural where context permits.

Language. A translated version may be provided for convenience. If law permits and a conflict exists, the English version controls. Mandatory local-language rights remain unaffected.
